Around Trade, Inc. — Terms of Service

1. Acceptance of These Terms
Welcome to Around Trade, a platform operated by Around Trade, Inc. (“we,” “us,” “our”).
By creating an account, accessing, or using our services at around.trade (the “Platform”), you agree to these Terms of Service (“Terms”).
If you’re using the Platform on behalf of a company or organization, you’re agreeing to these Terms for that entity and confirming that you have authority to do so.
If you don’t agree, do not use the Platform.
2. Who We Are
Around Trade, Inc. is a Delaware corporation with its principal offices in San Mateo County, California, USA.
We build and operate a digital platform that enables organizations and individuals to discover, connect, collaborate, and conduct business together.
3. Definitions
In these Terms, “Downstream” refers to any organization or individual that receives product, company, brand, or other business information through sharing on the Platform, directly or indirectly.
4. Eligibility and Accounts
You must be at least 18 years old to use the Platform.
Each user account belongs to a an individual, but users may belong to or act on behalf of organizations (tenants).
You are responsible for maintaining the security of your account and passwords.
If your organization invites you to join its workspace, your use is also subject to its internal policies and permissions.
5. Multi-Tenant Organizations and Team Accounts
Each organization (“Company”) on the Platform has its own workspace that may include multiple user accounts.
The organization owns all data, uploads, and permissions within its workspace. Organization administrators may manage users, permissions, invitations, sharing settings, integrations, and other aspects of the organization’s workspace on behalf of the organization.
The organization is responsible for the actions of users acting under its authority within the organization’s workspace.
We are not responsible for disputes between organization members or administrators regarding data access, role changes, or ownership.
When you join a company workspace, your data and activity may be visible to other members of that company.
6. Content You Upload
You (or your company) own the intellectual property rights to the content you upload, including product data, images, packaging details, certifications, or other business materials (“Content”).
However, by uploading Content to Around Trade, you grant us a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to:
- host, store, reproduce, and display your Content on the Platform;
- make it visible to other users, organizations, and, where applicable, the public, consistent with your sharing settings, participation in Platform features, and the operation of the Platform; and
- use it as needed to operate, improve, or promote the Platform and to enable multi-level sharing across the supply chain.
You also grant us the right to share company information (such as company profiles, brand details, certifications, and logos) within the Platform and with Downstream organizations where appropriate for network visibility and collaboration.
We may remove or restrict Content that violates these Terms or applicable law.
7. Platform Data
The Platform generates information relating to the use and operation of the Platform, including sharing activity, invitations, relationships between organizations, trade show participation, discoveries, access logs, audit records, usage analytics, and other operational metadata (“Platform Data”).
Except for your Content and appliable personal information, Platform Data is owned by Around Trade. Around Trade may use Platform Data to operate, secure, improve, analyze, and promote the Platform, including generating aggregate or anonymized statistics and insights.
8. Use of Company Names and Logos
By uploading a company name, logo, or other brand identifiers (“Brand Materials”) to Around Trade, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display those Brand Materials solely for the purpose of identifying you or your company as a participant in the Platform and for operating, improving, or promoting the Platform.
This may include displaying your logo or company name within product listings, search results, partner directories, or marketing materials such as the Around Trade homepage that describe companies participating in the Platform.
We will not modify your logos or trademarks or use them in a way that suggests endorsement without your separate consent.
9. Third-Party Materials and Logo Uploads
Users are responsible for ensuring they have the necessary rights to any materials they upload to Around Trade, including logos, trademarks, and images that identify other companies or brands.
If an organization’s logo or other trademarked material is uploaded by someone who is not authorized by that organization (for example, by an importer or distributor), Around Trade may continue to display the material as part of the related product or company record until that organization joins the Platform or a verified claim is made.
When the rightful brand owner or manufacturer claims the record, Around Trade may update, replace, or remove the logo or other brand identifiers to reflect verified ownership.
Around Trade is not responsible for resolving trademark or ownership disputes between users, but may take reasonable steps — including restricting or removing content — to protect legitimate rights holders.
10. Record Creation and Ownership Claims
Some company, brand, or product records on Around Trade may be created by organizations acting as importers, distributors, or other trading partners rather than by the original manufacturer or brand owner.
If the original manufacturer or brand owner later joins the Platform and claims ownership of a record, Around Trade may transfer administrative control of that record to the verified owner.
The organization that originally created the record retains rights to its own uploaded materials (such as images, specifications, or descriptions), but grants Around Trade a continuing license to maintain and display those materials as part of the record history and for the operation of the Platform.
Around Trade does not inspect, validate, certify, or independently verify information uploaded by users unless expressly stated otherwise. Around Trade does not guarantee the accuracy, completeness, timeliness, authenticity, or fitness of any information uploaded by users or third parties. Users remain solely responsible for verifying information before relying upon it for purchasing, manufacturing, regulatory, commercial, or business decisions.
Around Trade does not arbitrate ownership disputes beyond its verification and claim process.
If a dispute arises, we may restrict or remove access to affected records until it is resolved.
11. Use of the Platform
You agree to use the Platform only for lawful business purposes and in compliance with these Terms.
You may not:
- access or attempt to access other users’ data without authorization,
- upload malicious code or engage in activity that disrupts others, or
- resell or commercially exploit the Platform without our permission.
You are responsible for where and with whom you share QR codes, Connect Links, invitations, or other access mechanisms generated by the Platform. Information accessed through those mechanisms will be available in accordance with your sharing settings and these Terms.
We reserve the right to suspend or terminate accounts for misuse or violation of these Terms.
12. API and SDK Access
Access to APIs, SDKs, and other developer resources may be subject to additional terms, documentation, usage limits, or approval requirements. Around Trade may modify, suspend, discontinue, or revoke access to such resources at any time, either generally or with respect to any particular partner, developer, or integration.
13. AI / Search
The Platform may provide automated recommendations, search results, categorization, translations, summaries, or other computer-assisted outputs. These outputs are provided for convenience only and should be independently verified before being relied upon for business decisions.
14. Data Rights and Privacy
Our Privacy Policy (available on our website) explains how we collect, use, and share personal data.
By using the Platform, you agree to those practices.
Where applicable (for users in the United States, Thailand, and Japan), we comply with relevant privacy and data protection laws and may transfer data internationally as needed to operate our services.
15. Service Availability and Changes
We aim to provide reliable service but do not guarantee uninterrupted or error-free operation.
We may update, modify, or discontinue parts of the Platform at any time.
We are not liable for loss or corruption of data due to outages, maintenance, or other service changes.
16. Intellectual Property
All software, interfaces, and content we create or provide (excluding your uploaded Content) remain the exclusive property of Around Trade, Inc.
You may not copy, reverse engineer, or create derivative works of our code or design without written permission.
17. Feedback
If you provide suggestions, ideas, feature requests, comments, or other feedback regarding the Platform, you grant Around Trade a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate that feedback without restriction or compensation.
18. Termination
You may stop using the Platform at any time.
We may suspend or terminate your account if you violate these Terms or applicable law.
After termination, your organization’s data may remain available to its administrators or authorized users, but your individual access will end.
19. Disclaimers and Limitation of Liability
The Platform is provided “as-is” without warranties of any kind, express or implied.
To the fullest extent permitted by law, we disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Around Trade, Inc., its affiliates, directors, officers, employees, contractors, licensors, and agents be liable for indirect, incidental, special, or consequential damages, including lost profits or data whether arising in contract, tort (including negligence), strict liability, statute, or otherwise.
To the maximum extent permitted by law, Around Trade’s aggregate liability arising out of or relating to the Platform or these Terms shall not exceed the total fees paid by Customer to Around Trade under these Terms during the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the number of claims, causes of action, legal theories, or parties involved. Some jurisdictions may not allow certain limitations; in those cases, our liability will be limited to the maximum amount permitted by local law.
20. Force Majeure
Around Trade shall not be liable for any delay, interruption, or failure to perform its obligations under these Terms caused by events beyond its reasonable control, including acts of God, natural disasters, armed conflict, military action, invasion, terrorism, civil unrest, riots, sanctions, embargoes, governmental actions, labor disputes, pandemics, epidemics, failures of the Internet, telecommunications, hosting, cloud infrastructure, domain name services, certificate authorities, or other third-party infrastructure, cyberattacks, power outages, or other events beyond Around Trade’s reasonable control. Around Trade will use commercially reasonable efforts to resume performance as soon as reasonably practicable after the event has ended.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict of law principles.
Any disputes will be resolved exclusively in the state or federal courts located in San Mateo County, California.
If you’re based in Thailand or Japan, you agree that any local claims must also be subject to this U.S. jurisdiction unless local law prohibits it.
22. International Use
We welcome users from around the world.
You’re responsible for complying with local laws in your country, including export control, data privacy, and trade regulations.
If any provision of these Terms is unenforceable under local law, the remaining provisions will remain in effect.
23. Updates to These Terms
We may update these Terms from time to time.
If we make material changes to these Terms, we will provide reasonable notice, such as by email, through the Platform, or by other appropriate means, before the changes take effect.
By continuing to use the Platform after the effective date of the updated Terms, you agree to the revised Terms.
